MEMORANDUM OF UNDERSTANDING

1. PURPOSE

This Memorandum of Understanding ("MOU") establishes the terms under which School will participate in a pilot program to evaluate The Scribe Academy, an AI-powered writing education platform ("Platform"), for potential future adoption.

2. PILOT SCOPE

3. COST

The Platform will be provided to School at no cost for the duration of this pilot program. No purchase obligation exists at the conclusion of the pilot.

4. DATA OWNERSHIP & PRIVACY

• Student Data Ownership: All student-generated content (essays, outlines, drafts) remains the property of the School and its students.
• Software Ownership: The Platform, including all code, AI models, and intellectual property, remains the property of Developer.
• Privacy Compliance: Developer agrees to comply with FERPA, COPPA, and applicable state student privacy laws (including SOPIPA/AB 1584 for California and SOPPA/BIPA for Illinois).
• No Data Sales: Developer will not sell, rent, or share student data with third parties for advertising or commercial purposes.
• No AI Training: Student writing will not be used to train AI models.

5. DATA DELETION

Upon termination of this MOU or at School's written request, Developer will permanently delete all student data within 60 days using irrecoverable destruction methods consistent with NIST 800-88 guidelines. Developer will provide written confirmation of deletion upon request.

6. SECURITY

• All data transmitted via TLS 1.2+ encryption
• Data stored on Google Cloud (Firebase) with AES-256 encryption at rest
• Role-based access controls limit data access to authorized users
• Developer maintains incident response procedures and will notify School within 48 hours of any suspected data breach

7. SCHOOL RESPONSIBILITIES

• Ensure participating teachers have administrative approval to use the Platform
• Provide reasonable feedback on Platform functionality and educational value
• Notify Developer of any concerns regarding student safety or data privacy
• If using standard rostering (not anonymous), ensure compliance with district data sharing policies

8. DEVELOPER RESPONSIBILITIES

• Provide technical support during the pilot period
• Address reported bugs or issues in a timely manner
• Maintain Platform availability (reasonable uptime)
• Provide training materials or orientation as needed

9. TERMINATION

Either party may terminate this MOU at any time with 7 days written notice. Upon termination:

• School's access to the Platform will be disabled
• Developer will delete all student data per Section 5
• No penalties or fees will apply to either party

10. LIMITATION OF LIABILITY

The Platform is provided "as-is" for pilot evaluation purposes. Developer makes no warranties regarding fitness for a particular purpose. Developer's liability is limited to the direct damages caused by gross negligence, not to exceed $1,000.

11. ENTIRE AGREEMENT

This MOU constitutes the entire agreement between the parties regarding the pilot program. Any modifications must be in writing and signed by both parties.
